Mutual Non-Disclosure Agreement
This is a starter NDA template intended to be replaced by your organization's own legal text before publication. By accepting this NDA, the requester ("Recipient") agrees to keep confidential the documents and information made available through this Trust Center ("Confidential Information"), to use that information only for the purpose of evaluating the discloser, and to not disclose, copy, or transmit such information to any third party without prior written consent.
Confidentiality obligations under this NDA survive for a period of two (2) years from the date of acceptance. The Recipient agrees that the discloser may seek injunctive relief in addition to any other remedies available at law for any breach.
This NDA does not grant the Recipient any rights or licenses to the Confidential Information beyond what is necessary for the evaluation purpose above. Both parties acknowledge that information in the public domain, lawfully obtained from a third party without confidentiality restrictions, or independently developed without use of the Confidential Information, is not covered by this NDA.
Acceptance of this NDA is recorded electronically with the Recipient's typed name acting as a binding signature, alongside the date, time, and IP address of acceptance.
